1) Acceptance of these Terms
By creating an account, using EscrowPak, or clicking “Agree/Continue”, you accept these Terms, our Privacy Policy and Cookie Policy (collectively, the “Agreement”). If you don’t agree, do not use the Services.
2) What EscrowPak Is
EscrowPak is an online marketplace that connects Clients (buyers) and Freelancers (sellers) and provides escrow payment services for digital work and services (the “Services”). We are not a party to contracts between Client and Freelancer, except for payment processing and escrow administration described here.
3) Eligibility & Account
- You must be at least 18 years old and legally able to contract.
- Provide accurate information; keep your password secure.
- We may require KYC/AML verification (e.g., ID, proof of address) and may suspend/close accounts that fail checks.
- One natural person or legal entity per account; you’re responsible for all activity.
4) Using EscrowPak
- Post only lawful Projects/Services.
- Communicate and pay only on EscrowPak; off-platform payments are prohibited.
- Don’t spam, scrape, reverse engineer, or misuse the site.
- You must comply with all applicable laws, sanctions, and export controls.
5) Prohibited Services
No illegal, hateful, or harmful content; no adult content, weapons, drugs, malware, hacking, personal data trading, academic cheating, fake engagement, deepfakes of real people, or any service that infringes IP or violates law/regulation. We may remove content or suspend users at our discretion.
6) Project Flow & Escrow
- Offer/Order. Client selects a Service or posts a Project; Freelancer accepts with scope, price, milestones, and timeline.
- Funding. Client deposits the order amount (and fees/taxes if applicable) into Escrow. Work starts only after funding is confirmed.
- Delivery. Freelancer submits work through the platform.
- Review & Acceptance. Client has [3 days] to accept or request revisions. If no action within that period, the order may be auto-accepted.
- Release. Upon acceptance (or dispute resolution), funds are released to Freelancer subject to withdrawal schedules and fees below.
7) Pricing, Fees & Taxes
- We may charge marketplace and/or escrow fees to Clients and/or Freelancers (displayed at checkout and in your balance).
- Third-party processors (cards, wallets, bank transfers) may charge extra fees.
- You are responsible for all taxes applicable to you. We may collect taxes where required by law.
8) Withdrawals & Payouts
- Payouts are available through supported methods shown in your account.
- A clearance period of [e.g., 7–14 days] after order completion may apply for fraud/risk checks.
- Minimum/maximum withdrawal amounts and per-method fees apply.
- Chargebacks or payment disputes may be debited from your balance.
9) Cancellations & Refunds
- Before delivery acceptance, either party may request cancellation through the order page.
- If both agree, escrow is refunded to Client (minus non-refundable processor fees, if any).
- If there’s a disagreement, open a Dispute (see Section 10).
10) Disputes & Resolution
- Try to resolve within the order chat first.
- If unresolved, use our Dispute Center within [7 days] of delivery or last activity.
- You authorize EscrowPak to review order history, messages, files, and decide whether to release, refund, or split escrow amounts. Our decision is final for platform purposes but doesn’t waive either party’s legal rights outside the platform.
- We may involve third-party mediators/arbitrators where specified.
11) Intellectual Property & Work Rights
- Unless the order or Seller’s gig states otherwise, full rights to delivered work (including copyrights) transfer to the Client upon full payment release, except for:
- Seller’s pre-existing materials/tools (licensed for the order’s purpose);
- Materials licensed from third parties (subject to the original license).
- Seller represents the work is original or properly licensed and indemnifies Client and EscrowPak for IP claims arising from Seller’s breach.
- Client grants Seller a limited license to use Client-provided materials solely to complete the order.
12) Ratings & Reviews
- Reviews must be honest and factual; no extortion or review manipulation.
- We may remove reviews that violate policy.
13) Privacy & Data
- We process personal data under our Privacy Policy. Don’t share sensitive information (e.g., full card numbers, government IDs) in chats/files unless required by verification flows.
14) Third-Party Services
Payment gateways, KYC providers, cloud storage, analytics, and other third parties are used to operate EscrowPak. Your use of them may be subject to their terms.
15) Platform Changes
We may modify, suspend, or discontinue features at any time. Material changes to these Terms will be notified by posting on the site and/or email.
16) Termination
We may suspend or terminate accounts for any breach, fraud, risk concerns, or inactivity. You may close your account anytime if there are no open orders, disputes, or negative balances. Certain Sections survive termination (e.g., Fees, IP, Disputes, Liability, Indemnity).
17) Warranties & Disclaimers
- EscrowPak is provided “as is” and “as available.” We do not warrant uninterrupted or error-free operation.
- We are not responsible for the quality, safety, or legality of services offered by users.
18) Limitation of Liability
To the maximum extent permitted by law, EscrowPak and its officers/directors/employees will not be liable for any indirect, incidental, special, consequential, punitive damages, lost profits, or loss of data. Our total liability for any claim relating to the Services will not exceed the total fees you paid to us in the 3 months preceding the claim.
19) Indemnification
You agree to defend, indemnify, and hold harmless EscrowPak from any claims, damages, liabilities, and expenses (including legal fees) arising from: your content, your services, your use of the platform, your breach of this Agreement, or violation of law/third-party rights.
20) Non-Circumvention
For [e.g., 24 months] after first contact through EscrowPak, you must not circumvent the platform to avoid fees by paying or receiving payment off-platform for the same Client/Freelancer relationship, unless both parties pay EscrowPak an agreed conversion fee or get written consent.
21) Communications
You consent to receive electronic communications (emails, in-app notices). Notices are deemed given when sent to your registered email or posted on the site.
22) Governing Law & Venue
These Terms are governed by the laws of [Punjab—e.g., Pakistan] without regard to conflicts of law. Courts of [ Islamabad] shall have exclusive jurisdiction. If arbitration/mediation is preferred, replace this clause with your chosen rules/body.
23) Miscellaneous
- Entire Agreement. These Terms + policies are the entire agreement between you and us.
- Severability. If any part is invalid, the rest remains effective.
- No Waiver. Failure to enforce a provision is not a waiver.
- Assignment. You may not assign without our consent; we may assign as part of a merger, acquisition, or asset sale.
- Headings are for convenience only.
